1. Definitions

In these Terms: "Company" means VOTUM; "Customer" means the person or entity ordering Services; "Services" means design, installation, maintenance and related works provided by VOTUM.

2. Application

These Terms apply to all offers, orders and contracts for Services provided by the Company unless otherwise agreed in writing.

3. Offer and contract formation

Offers are valid for the period stated. A contract is formed when the Company issues an order confirmation or when work commences following a mutually agreed brief.

4. Prices and payment

Prices are stated net unless specified. Invoices are due within the agreed payment term. Late payment may incur interest and/or suspension of services.

5. Delivery and performance

Delivery dates are estimates. The Company will use reasonable efforts to meet agreed schedules but is not liable for delays caused by factors outside its control (force majeure, supplier delays, permitting delays).

6. Acceptance and warranty

Works are subject to handover and acceptance tests. The Company provides warranty for workmanship and supplied equipment as stated in a job-specific agreement. Warranty does not cover damage from misuse, unauthorized modification or third-party interference.

7. Liability

The Company's liability is limited to direct losses and capped at the value of the specific contract, except in cases of gross negligence or willful misconduct as permitted by law.

8. Termination

Either party may terminate for material breach if not remedied within a reasonable time. On termination, outstanding fees become payable and the Company may remove installed equipment as set out in the contract.

9. Governing law and jurisdiction

These Terms are governed by Polish law. Disputes will be subject to the competent courts in Poland unless the parties agree otherwise in writing.
